1. Digital Product & Membership Access

All purchases made through Haikii are for digital products, software systems, and online membership access.

This policy applies exclusively to:

The Haikii Membership — $97 per month

The Haikii Membership provides immediate digital access to proprietary educational content, software tools, systems, and mentorship resources upon successful payment.

2. What the Haikii Membership Includes

Upon activation, the Haikii Membership grants access to:

Platform and software systems

Educational training materials and digital resources

Community access and live mentorship calls

Affiliate dashboard and commission tracking

Ongoing updates, trainings, and masterclasses

All materials provided are digital intellectual property and are delivered electronically.

3. No-Refund Policy (Digital Access & Mentorship)

Due to the instant delivery of digital content, software access, and live mentorship opportunities, all Haikii Membership payments are final and non-refundable.

This includes, but is not limited to:

Initial membership payments

Monthly subscription fees

Partial billing periods

Unused time or perceived lack of participation

Once access is granted, the value of the membership is considered delivered.

4. Subscription Billing & Cancellation

The Haikii Membership is billed at $97 per month on a recurring basis. Members may cancel their subscription at any time to prevent future charges.

Cancellation does not result in a refund for the current or any prior billing period.

Membership access remains active until the end of the paid billing cycle.

5. Affiliate Transactions

Some members join Haikii through affiliate referrals.

If a membership purchase triggers an affiliate commission, that transaction remains strictly non-refundable.


This protects the integrity, fairness, and transparency of Haikii’s performance-based affiliate model.


6. Payment Processing & Access Delivery

All payments are securely processed through industry-standard payment providers such as Stripe or PayPal, utilizing SSL encryption protocols. Haikii does not store payment information.

If you do not receive access to your membership within a reasonable timeframe after purchase, please contact:

7. Policy Updates & Acceptance

Haikii reserves the right to update or modify this policy at any time without prior notice. Changes may include updates to pricing, membership structure, access terms, or platform offerings.

The following Terms and Conditions of Use (“Terms”) are entered into by and between You and Haikii software, AI Tools, courses & training, and all corresponding offers. ("we," "us," or "our").

By accessing or using the Product, you agree to be bound by this Agreement. If you do not agree with these terms, please refrain from using the Product.

Grant of License:

We grant you a non-exclusive, non-transferable license to use and sell the Product in accordance with the terms and conditions set forth in this Agreement.

This license is limited to the duration of your ownership of the master resell rights to the Product.

Intellectual Property:

The Product, including but not limited to its content, design, logos, trademarks, and any associated materials, are protected by intellectual property laws and are the exclusive property of Haikii or its licensors. You acknowledge that you have no ownership rights in the Product, except for the master resell rights granted under this Agreement.

Indemnification:

You agree to indemnify, defend, and hold harmless Haikii, its affiliates, officers, agents, employees, and licensors from and against any and all claims, damages, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from or related to:


Your use or misuse of the Product or Services,

Your breach or violation of any term of this Agreement,

Your infringement of any intellectual property, proprietary, or other rights of any third party,

Your violation of any applicable law, regulation, or third-party agreement,

Any action or inaction related to your participation in the Haikii affiliate program, including false advertising, deceptive practices, or unauthorized competition.

Termination:

We reserve the right, at our sole discretion, to terminate or suspend your access to our software, tools, community, and/or affiliate relationship at any time and without prior notice, including but not limited to situations where:


You violate any provision of this Agreement,

You engage in unethical behavior or deceptive marketing practices,

You attempt to reverse-engineer, copy, resell, or otherwise misuse our proprietary software,

You act in direct competition with Haikii while participating in the affiliate program,

You fail to abide by the terms of the affiliate agreement or misuse promotional materials.


In such cases, Haikii reserves the right to withhold any unpaid affiliate commissions, and you will be required to immediately cease use of all Products and destroy any copies or derivatives in your possession.


Termination will not limit Haikii’s rights to pursue any available legal or equitable remedies.

Amendments:

We reserve the right to update, modify, or replace this Agreement at any time. Any such changes will become effective immediately upon being posted to our website. It is your responsibility to review the current version of the Agreement regularly.

Your continued use of our Products or participation in the affiliate program after any amendments are posted constitutes your acceptance of the updated terms, including any changes related to software usage, affiliate conduct, or commission eligibility.

Entire Agreement:

This Agreement constitutes the entire understanding between you and Haikii regarding your use of our Products, tools, and service, including any affiliate relationship and supersedes all prior or contemporaneous agreements, communications, or representations, whether written or oral.

No waiver or modification of any provision of this Agreement shall be effective unless in writing and signed by an authorized representative of Haikii.

Changes to Terms & Conditions:

We may revise or update these Terms & Conditions at any time and without prior notice. All changes become effective upon publication. Continued use of the website, Products, or participation in any affiliate program indicates your ongoing acceptance of the current terms.

You are responsible for reviewing these Terms & Conditions regularly. If you do not agree to the revised terms, your only remedy is to cease all use of the Product and any participation in the affiliate program.

HAIKII STANDARD AFFILIATE AGREEMENT

By checking the box at enrollment or activating your affiliate dashboard, you (“Affiliate”) agree to the following terms with Haikii, LLC, or its successor entity (the “Company”). This Agreement governs all affiliate activity related to the promotion and sale of Haikii products, including the AI Wealth Code programs and the Haikii Membership.

1. Eligibility and Enrollment

1.1 You must maintain an active Haikii Membership ($97/month) to remain eligible for commissions.
1.2 You may promote Haikii products only through approved marketing channels and compliant methods.
1.3 The Company may accept, deny, or terminate affiliate participation at its sole discretion, without obligation to disclose reasoning.

2. Commission Eligibility

2.1 Commissions are earned based on successful, verified sales of Company products made through the Affiliate’s unique referral link.
2.2 Commission rates, tiers, and eligible products are determined by the Company’s current compensation plan, as published in the affiliate dashboard or communicated in writing.
2.3 The Company reserves the right to modify commission rates or structures with notice through the affiliate dashboard.
2.4 Commissions are calculated on net transactions after any discounts, chargebacks, or refunds.

3. Payment Terms

3.1 Commissions are paid on the 15th of the following month after the transaction month.
3.2 Payments are made through the affiliate dashboard using the payment method on file.
3.3 Refunded, reversed, or disputed transactions automatically void the related commission, which may be deducted from future payouts.
3.4 All commissions are paid via PayPal. PayPal may issue tax documents (such as a 1099-K) when applicable. Affiliates are responsible for reporting their own income.

4. Conduct, Representation & Compliance

4.1 Affiliates must represent Haikii products truthfully and align messaging with official Company materials.
4.2 False income claims, deceptive urgency tactics, or unauthorized earnings statements are prohibited.
4.3 Affiliates must comply with FTC disclosure rules, clearly identifying affiliate status in all marketing content.
4.4 Affiliates may not create or operate any website, funnel, automation, or system that mimics or replicates Haikii’s proprietary architecture, sales flows, or automation frameworks (“funnel hacking” or “system cloning”).
4.5 Unauthorized duplication, modification, or distribution of Haikii’s software, automations, or templates is a direct infringement of intellectual property rights and will result in termination and possible legal action.

5. Confidentiality & Intellectual Property

5.1 All Haikii systems, training, templates, scripts, designs, and automation workflows are the exclusive intellectual property of the Company.
5.2 Affiliates may not copy, license, or distribute proprietary content or internal data outside of authorized use.
5.3 Internal systems, commissions, customer records, and performance data are confidential trade secrets. Disclosure to any third party is prohibited.

6. Non-Solicitation & Anti-Poaching Policy

6.1 Permitted Affiliate Activity

Affiliates may market, promote, enroll, and support customers and affiliates into Haikii, including individuals they personally refer or enroll. Nothing in this policy restricts an affiliate’s ability to communicate with, train, or support their personally enrolled customers or affiliates within the Haikii ecosystem.


6.2 Prohibited Competitive Solicitation (Active Term)

While an affiliate maintains an active Haikii Membership or affiliate relationship, the affiliate may not solicit, recruit, encourage, or attempt to redirect any Haikii customer, affiliate, or lead, whether personally enrolled or not away from Haikii and into any competing business, program, platform, or marketing system.


6.3 Use of Haikii Assets, Systems, and Data

Affiliates may not use, copy, extract, access, or leverage any Haikii-related assets for competitive purposes, including but not limited to:

Platform access, software, or internal systems

Training materials, frameworks, or educational content

Community groups, mentorship calls, or live events

Contact information, lead data, or CRM records


6.4 Definition of Competing Business

A “competing business” includes any product, service, system, or opportunity that:

Replaces or substitutes the Haikii Membership

Offers substantially similar monetization, automation, or affiliate structures

Is positioned as an alternative to Haikii during an active or recently terminated affiliate relationship


6.5 Post-Termination Non-Solicitation (6-Month Limitation)

For a period of six (6) months following the termination or cancellation of an affiliate’s Haikii Membership or affiliate relationship, the former affiliate may not directly solicit or recruit any Haikii customer or affiliate whom they became aware of solely through their participation in Haikii, for the purpose of promoting a competing business.

This restriction is limited in scope and duration and applies only to protect Haikii’s confidential information, proprietary systems, and business relationships.


6.6 Independent Business Activity

Nothing in this policy restricts an affiliate or former affiliate from:

Operating independent businesses

Promoting non-competing products or services

Marketing to the general public

Working with individuals they had a documented relationship with prior to joining Haikii

Provided such activities do not misuse Haikii intellectual property, confidential data, or member relationships.


6.7 Enforcement and Remedies

Violations of this policy may result, at Haikii’s sole discretion, in:

Immediate termination of affiliate status

Forfeiture of unpaid or pending commissions

Removal of access to Haikii systems, community, and resources

These remedies are cumulative and do not limit Haikii’s rights under applicable law.


6.8 Survival

The obligations related to confidentiality, intellectual property protection, and post-termination non-solicitation shall survive termination of this Agreement for the time periods stated herein.

7. Termination

7.1 The Company may suspend or terminate affiliate access at any time for violation of this Agreement, unethical conduct, or brand harm.
7.2 Upon termination, all unpaid commissions linked to violations are forfeited.
7.3 Affiliates remain bound by confidentiality, IP protection, and non‑solicitation clauses after termination.

8. Liability & Indemnification

8.1 Affiliates act as independent contractors and are fully responsible for their marketing and representations.
8.2 Affiliates agree to indemnify and hold harmless Haikii, LLC, or its successor entity, from any claims, losses, or liabilities arising from misconduct, misrepresentation, or breach of this Agreement.

9. Governing Law

This Agreement is governed by and construed under the laws of the State of Colorado, without regard to conflict of law principles. Any dispute shall be resolved exclusively in Colorado courts.

10. Modification & Acceptance

10.1 The Company reserves the right to update or modify this Agreement at any time without prior notice. Updated terms will be published in the affiliate dashboard and apply immediately.
10.2 By checking the box at enrollment, logging into the affiliate dashboard, or continuing to promote Haikii products, the Affiliate acknowledges and agrees to the current version of this Agreement.

HAIKII EARN-TO-OWN ESCROW AGREEMENT

This Agreement (“Agreement”) is entered into by and between Haikii, LLC, or its successor entity (the “Company”) and the undersigned affiliate participant (“Affiliate”) upon activation of the Earn‑to‑Own status within the Haikii ecosystem.

1. Program Overview

1.1 The Earn‑to‑Own program allows Affiliates to apply earned commissions toward ownership of either:
AI Wealth Code: Launch ($1,997), or
AI Wealth Code: Expansion ($2,997).
1.2 Affiliates who have not yet purchased the selected program outright agree that commissions will be held in escrow until full payment is reached.

2. Escrow Authorization

2.1 Affiliate authorizes the Company to hold and apply commissions in escrow toward fulfillment of the selected program.
2.2 Funds held in escrow remain Company property until ownership is completed.
2.3 Once the escrow balance equals the full program price, ownership rights and access are permanently released to the Affiliate.
2.4 Affiliate may pay the remaining balance at any time to accelerate ownership.
2.5 There is no fixed timeframe for completing the Earn‑to‑Own balance.

3. Commission Structure & Payouts

3.1 Earn‑to‑Own Affiliates receive 25% Tier 1 commissions on all eligible Haikii products (including AI Wealth Code: Launch, AI Wealth Code: Expansion, and Haikii Membership) while participating in this program.
3.2 Upon full ownership of their selected program, Affiliates automatically upgrade to the standard 50% Tier 1 and 10% Tier 2 commission structure.
3.3 Commission calculations follow the Standard Affiliate Agreement and are paid on the 15th of the following month, after the 72‑hour refund window closes.
3.4 Commissions designated for escrow are not payable in cash until ownership is completed.
3.5 If the Affiliate withdraws or is terminated before completion, escrowed funds are forfeited.

4. Intellectual Property & Confidentiality

4.1 All Haikii systems, software, automations, curriculum, templates, and community materials are exclusive intellectual property of the Company.
4.2 Affiliate receives limited access for promotional purposes only until ownership is complete.
4.3 Affiliate may not copy, duplicate, sell, or distribute any proprietary material.
4.4 All internal data and communications are confidential and may not be disclosed to any third party.

5. Non‑Solicitation & Non‑Competition

5.1 Affiliate may not solicit, recruit, or attempt to transfer any Haikii members, affiliates, or leads, whether personally enrolled or not into any competing company, product, or opportunity involving digital marketing, automation, or AI systems.
5.2 Affiliate may not use Haikii’s intellectual property, contacts, or systems to create, sell, or promote competing programs.
5.3 Violation of this clause results in immediate termination of affiliate status and forfeiture of any escrow balance.

6. Independent Contractor Relationship

Affiliate acts as an independent contractor. Nothing in this Agreement creates an employment, partnership, or joint venture relationship between the parties.

7. Indemnification

Affiliate agrees to indemnify and hold harmless Haikii, LLC, or its successor entity, from any loss, liability, or claim arising from Affiliate’s conduct, representations, or breach of this Agreement.

8. Term & Termination

8.1 This Agreement remains active while the Affiliate participates in the Earn‑to‑Own program.
8.2 The Company may terminate participation immediately for any violation of terms or unethical behavior.
8.3 Upon termination for cause, any escrow balance or unpaid commissions are forfeited.

9. Governing Law

This Agreement shall be governed by and construed under the laws of the State of Colorado, without regard to conflict of law rules. Venue shall lie exclusively in Colorado courts.

10. Acknowledgment and Signature

By signing below, Affiliate confirms that they:

Have read and understood this Agreement in full.

Authorize Haikii, LLC, or its successor entity, to hold and apply commissions toward program ownership.

Understand that commissions are paid at 25% Tier 1 until full ownership is completed.

Agree to all non‑solicitation, confidentiality, and escrow provisions herein.
